Terms of Service

1. Acceptance of Terms

By accessing or using Uptimera ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Uptimera is a cloud-based uptime monitoring platform that allows users to monitor the availability and performance of websites, APIs, and other internet services. The Service includes:

  • HTTP, TCP, DNS, and SSL monitoring from multiple global regions
  • Incident detection and alerting via email, SMS, Slack, and webhooks
  • Public status pages for communicating system health
  • Response time analytics and uptime reporting
  • REST API for programmatic access
  • Team collaboration and role-based access

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Subscription Plans and Billing

Plans

The Service is offered in three tiers: Free, Pro ($9/month), and Business ($29/month). Each plan includes specific limits on monitors, check intervals, team members, and features as described on our pricing page.

Billing

Paid subscriptions are billed monthly in advance via Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time through the billing settings in your dashboard or via the Stripe customer portal. Upon cancellation:

  • Your paid features remain active until the end of the current billing period
  • Your account will be downgraded to the Free plan
  • Monitors exceeding Free plan limits will be paused (not deleted)
  • No refunds are provided for partial billing periods

Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.

5. Acceptable Use

You agree not to use the Service to:

  • Monitor URLs or endpoints you do not own or have authorization to monitor
  • Conduct denial-of-service attacks or intentionally overload target servers
  • Distribute malware, spam, or phishing content via status pages or notifications
  • Circumvent or attempt to circumvent plan limits or rate limits
  • Violate any applicable laws, regulations, or third-party rights
  • Resell or redistribute the Service without our written consent
  • Interfere with or disrupt the Service or its infrastructure

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these restrictions.

6. Service Level and Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as-is" and "as-available" basis.

Scheduled maintenance windows will be communicated in advance when possible. We are not liable for any downtime, data loss, or missed alerts resulting from:

  • Scheduled or emergency maintenance
  • Third-party service outages (cloud providers, DNS, network carriers)
  • Force majeure events
  • Your misconfiguration of monitors or alert channels

7. Data Ownership

You retain ownership of all data you submit to the Service, including monitor configurations, team settings, and status page content. We claim no intellectual property rights over your data.

You grant us a limited license to use your data solely to provide and improve the Service. This license terminates when you delete your data or close your account.

Monitoring results (response times, status codes, check history) generated by the Service from checking your endpoints are considered part of the Service and are subject to data retention limits based on your plan.

8. API Usage

API access is available on Pro and Business plans. API usage is subject to rate limits:

  • Pro: 1,000 requests per hour
  • Business: 10,000 requests per hour

Excessive API usage that degrades the Service for other users may result in temporary throttling or suspension of API access.

9. Public Status Pages

Status pages you create may be publicly accessible. You are responsible for the content displayed on your status pages and must ensure it does not violate any laws or third-party rights.

We reserve the right to remove or disable public status pages that contain inappropriate, misleading, or harmful content.

10. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Uptimera and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

The "Powered by Uptimera" attribution on free-tier status pages may not be removed. Pro and Business plans may remove this attribution.

11. Limitation of Liability

To the maximum extent permitted by law, Uptimera and its officers, directors, employees, and agents shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from missed alerts or delayed notifications
  • Costs of procuring substitute services

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Uptimera from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. We may terminate or suspend your access immediately, without prior notice, if:

  • You breach these Terms
  • Your payment method fails and is not resolved within 7 days
  • We are required to do so by law
  • We discontinue the Service (with 90 days' notice)

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Virginia.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
